The Corporation



First of all, we have to understand what a corporation is, defined as an entity that has an enormous power and a lot of control in the countries were they are established.

Corporation are use to have their own sentence that says that they should be seen by the law different, because their behavior and actions are depending on their needs.

Is difficult to see as humans how a corporation can create a big damage in our environment and in our lives, but this is hard to manage because for our daily life we need them to live and to get what is necessary for the daily necessities.

Corporation work together to achieve certain goals that can be personal goals or a team goal, is important to see that they have been created to win profits and to achieve what they want to matter what.

Employees received orders from their managers and managers from shareholders that are the main head because they are the ones that have the power and the ones that say how thinks should be done.

Corporations are motivated by money, ambition and power, what make corporations for many monsters, that destroy the earth and peace of the world only to achieve certain goals and be better that the competition.

But the government does nothing? Well you must understand that corporations are one of the most important institutions and pay more taxes that anyone else, so this make government prefer to help them that to close it, so whit this different interest between parties is hard for judges to enforce the law.

The Corporations often become a series of inhumane people that forget the value of life and how hard it is to get an income for life, which is why often pay their employees small sums of money for a product that is to be sold 300% more of the original cost.

This is seen by many as a form of exploitation to employees and unacceptable behavior for which the government does not care.

Corporation should start to see its own behavior and make thinks for the improvement of the daily life, not only for their costumers but also for their employees.

IOM






Until 80's migrations was seen as a men's issue, but today women have a big percentage of migration worldwide.

Migration is considered without sex, but it is very important to understand that migration impacts differently men and women in the world, that’s why we should take different actionsand conclusions according to the sexes.

Is known that 49% of migrant in the world are women, a big reason to start working for their rights.

A problem that the world is facing now, is that migrants, more of them women, are not having a big quantity of guaranties, what makes them resort to traffickers and make the process insecure and to have more risk to their lives and dignity.

In other countries were is aloud the migration, the treatment is not to good, because it exists discrimination, they are also exposed to physical and sexual abuses and other degrading acts that make the life of a person despised and worth less than other.

The organization is facing a big problem that is the trafficking, this is the main issue concerning the organization, because is the common problem were women get abuse and more lives are lost, this situation is very deplorable, the organization is trying to increase awareness among women telling them not to get convinced that the work becomes so easy, where money is easy to get without working to much and they are making them understand that everything can be achieved by working and believing in themselves.


The IOM is working to get more countries that agree to make migration legal, to get better laws that protect women from abuses not matter if they are illegally in that country, they are working to make women understand that theirs lives are more important and have a bigger value that any work in the world and that they should put themselves first and make them seen as the most important person in the world.

Merging & Acquisition





Nowadays is very common to listen about Merging and Acquisition, but how it works? Is that as easy as we think? What a company should do to use each type of "Model"? I’m going to try to explain and make this easier for all of us.

An Acquisition is when a company takes over another and established itself, as the new and unique owner is normally friendly if is received from the employees, directors of the other company as an opportunity to grow and to learn of others, but it can be hostile if it is received as something bad.

Some Types of acquisitions can be:
- Reverses take over: the acquisition of a public company from a private company.
- Reverse Merger: is when a private company can be in the stock market for a few period of time.

Merger instead can be understood as two companies that agree to go forward as a new company and have a bigger and new power.

Types of Mergers

- Horizontal Mergers: When two firms that are rivals decide to consolidate their business.
- Vertical Mergers: The union between companies that have potential buyers and sellers.
- Conglomerate Mergers: Companies should share marketing and distribution channels and sometimes production process.
- Co generic Mergers: This happen when two companies are in the same industry but they have no mutual buyers and customers.

Also if your are thinking to make a M&A you should take into account the business evaluation that is integrated by

-Asset valuation,
-Historical earnings valuation,
-Future maintainable earnings valuation,
-Relative valuation
-Discounted cash flow





An Example for us to understand this, can be the Acquisition take by an Indian Company Komli Media to Acquire UK’s Indoor Media

Komli Media has made two Acquisitions since June of this Year, according to Prashant Mehta chief operating officer of Komli Media“A lot of businesses are looking to focus on the non resident Indian and there is a lot of potential to grow this business from here,”.

They are trying to increase their market not only in Asia but also in other Continents, that’s why they are seeing with good eyes the idea of acquiring new companies that already develop and are working, because this can gave them an idea and a knowledge of how to work in a different country.

Also we take into account that UK represented the largest population of non resident Indians, a reason that make us feel more secure to get into this market, acquired the company and start working with and for our community.


The size of the agreement is not known but we can said that is a big one taking into account the size of each company and that the sources that the company have, has been used to make this agreement real.

Ubuntu Philosophy can be understand as "I’m because we are", this is how a person can be open an available for others, feel happy of how other people make things and not feel embarrassed if someone else make things better that he does.

This philosophy is away from the individualism and helps you think as a group, on how we can make things better so that everyone can be better and can have better opportunities.

This philosophy make us understand why working as a team can be so important, and can make today managers see that if all your team help in a process the result should be better.

The team work is a strategy used by many in the world but is not used very well, because people are always searching to be number one no matter what, and this is not what this is about, you should work as a team to make thinks better, to have better ideas and to increase the productivity of the daily tasks.

If today’s managers really understand that work team is making a difference in how a company should be directed and they make their strategies focused on this, we will see in near future big companies big nice stories to tell as experiences.

To make your employees feel happy and better with you and your company you should make them feel like this company is your, your are here because you are important for us, so that’s why we want to make important thinks for you, such as training, new adaptations, new schedules, allocations and incentives that make them feel important to us.




With these changes you must create a safe working environment where people understand that by working in this company he will always have a boss who will be with him, supporting him in his development as an individual, and the most important thinks is to make him understand that every single think that he is making for the company is a big contribution to the success of the company.


Make your employees feel as an irreplaceable part of the company and let them know that when they are working with every single piece or employee that make part of the company, they are building their own future and their own success.
